  • Use the Midnight Sun Peptides name, trademarks, logos, product images, Certificates of Analysis (COAs), product descriptions, website content, photographs, documents, downloadable materials, or any other proprietary or copyrighted materials in connection with the marketing, promotion, or sale of any products or services.
  • Remove, alter, obscure, or modify any branding, copyright notices, trademarks, or other proprietary markings appearing on our products, packaging, labels, website, or marketing materials.

No purchase of products, fulfillment of orders, business communications, course of dealing, or other relationship with Northuldra Holdings LLC shall be construed as granting any license, ownership interest, authorization, or other right to use, reproduce, display, distribute, modify, or exploit any Midnight Sun Peptides intellectual property or to market, advertise, broker, or resell our products unless expressly authorized in a written agreement signed by an authorized representative of Northuldra Holdings LLC.

Northuldra Holdings LLC reserves the right, at its sole discretion, to refuse service, reject or cancel orders, terminate customer accounts, revoke purchasing privileges, suspend or discontinue fulfillment, and pursue all available legal and equitable remedies for any unauthorized resale, distribution, misuse of its intellectual property, or violation of these Terms & Conditions.

7. Orders, Payments & Shipping

● All payments must be made in full before orders are processed.
● We reserve the right to cancel or refuse any order at our discretion.
● Prices are subject to change without notice.
● Risk of loss transfers to the buyer once the package is handed to the carrier.
● Midnight Sun Peptides is not responsible for delays, seizures, or losses caused by carriers, customs, or regulatory authorities.
● Due to the nature of our products, all sales are final and returns are not accepted.

8. Backorder Policy

At Midnight Sun Peptides, we strive to keep all products in stock and ready to ship. However, from time to time, certain items may be placed on backorder.

Definition of Backorder
A backordered item is a product that is temporarily out of stock at the time you place your order but is expected to be restocked soon.

Shipping Timeline
All backordered items will be shipped within 14 calendar days (2 weeks) of the purchase date.

  • If we are unable to ship your backordered item within this 14-day period, you will be notified and given the option to:

    • Keep the item on backorder with an updated estimated ship date, or

    • Cancel the backordered item for a full refund.

Order Handling

  • If your order contains both in-stock and backordered items, we may, at our discretion:

    • Ship in-stock items immediately and ship backordered items separately when available, or

    • Hold the entire order and ship it together once all items are in stock.

  • Any changes to this handling will be communicated to you via the contact information provided at checkout.

Communication
You will be notified at checkout or as soon as reasonably possible if an item in your order is on backorder. We will provide:

  • An estimated ship date (within 14 days of purchase), and
  • Updates if there are any changes to that date.

Cancellations & Refunds

  • You may cancel any backordered item at any time before it ships for a full refund to your original form of payment.

  • If we cannot fulfill a backordered item within the promised 14-day window and you choose not to wait for a new date, you are entitled to a full refund for that item.

Exceptions
In rare cases of circumstances outside our control (e.g., major supply chain disruptions, carrier shutdowns, or regulatory delays), we may not be able to meet the 14-day shipping timeframe. In such cases:

  • We will notify you as soon as reasonably possible,

  • Provide a revised estimated ship date, and

  • Offer you the option to cancel for a full refund if you do not wish to wait.

9. Legal Compliance

● The customer is solely responsible for ensuring that products ordered are legal to import, possess, and use in their jurisdiction.

10. Limitation of Liability

13. Severability

In any action, arbitration, or proceeding arising out of or relating to these Terms & Conditions, the purchase of products, the use of this website, the use of Midnight Sun Peptides’ Intellectual Property, or any business relationship with Northuldra Holdings LLC, the prevailing party shall be entitled to recover its reasonable attorneys’ fees, court costs, expert witness fees, and other litigation expenses to the fullest extent permitted by applicable law.

16. Governing Law and Venue

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Alaska, without regard to its conflict of law principles.

The parties irrevocably agree that any action, claim, dispute, or proceeding arising out of or relating to these Terms & Conditions, the purchase of products, the use of this website, the use of any Midnight Sun Peptides Intellectual Property, or any business relationship with Northuldra Holdings LLC shall be brought exclusively in either (i) the Alaska State Court, Fourth Judicial District, Fairbanks, Alaska, or (ii) the United States District Court for the District of Alaska, as applicable.

Each party knowingly and voluntarily submits to the personal jurisdiction of those courts and irrevocably waives any objection based on personal jurisdiction, improper venue, or forum non conveniens.
